Howard Hyde has a broad range of experience, both transactional and regulatory, in the financial services area. Mr. Hyde also counsels institutions facing capital and other supervisory concerns. He has worked on numerous holding company, bank, thrift and mortgage company mergers and acquisitions, acquisitions of assets and liabilities of failed institutions, as well as numerous branch sales. In addition, Mr. Hyde has extensive experience in chartering new institutions and in public and private offerings of debt and equity securities. On the regulatory side, he is experienced in a wide range of issues involving the Bank Holding Company Act, the Federal Reserve Act, federal fair lending statutes, the Community Reinvestment Act (CRA), and other laws regulating financial institutions.

Mr. Hyde also has represented institutions in enforcement matters and other fall-out from the recent financial crisis, including matters before the Consumer Financial Protection Bureau and other federal regulators. In addition, since the enactment of the Dodd-Frank Act, he has provided advice on many aspects of the Act, including the new capital requirements in the Act and their interaction with the Basel III capital standards being implemented internationally.

  • Federal Housing Finance Agency in connection with the establishment of conservatorships for Fannie Mae and Freddie Mac.
  • Major hedge fund complex and other clients on regulatory control issues arising out of investments in insured depository institutions.
  • Banks and mortgage companies against allegations of discrimination in approving or pricing home mortgages.
  • Subprime credit card issuers and servicers in responding to allegations of unfair and deceptive practices under the Federal Trade Commission Act.
  • Responding to CRA protests in the context of financial institution acquisition transactions.

  • Advising institutions on compliance with rules governing transactions with insiders and affiliates.
